Licensed Content Selling Terms and Conditions

1. Introduction
These Licensed Content Selling Terms and Conditions ("Terms") between you and CAM LIMITED. References to "we", "us" and "our" include CAM LIMITED and any group company or affiliate involved in operating the ClickaSnap online platform ("Platform"), processing payments, managing licences or providing related services). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any of these Terms, do not use the Platform.
2. Key Terms
Commission: A fee deducted by us from the proceeds of each Sale.
Content: Any images, photographs, and vectors uploaded to the Platform by you.
Dataset: A collection of Content, metadata, labels, tags or other information created or made available in aggregated, processed or structured form.
Derived Materials: Materials, outputs, metadata, tags, annotations, data, insights or other materials generated from or relating to Content or Platform usage.
Earnings: The amount payable to you from a Sale after deduction of any Commission, fees, refunds, chargebacks, taxes or other deductions described in these Terms.
License: A legally binding agreement allowing the purchaser to use an image under specified conditions.
Licensee: means a person or organisation that purchases a licence to use Content through the Platform.
Partner: Any third party we work with in connection with the operation, development, commercialisation or improvement of the Platform or related services.
Sale: The transaction by which a license to use the Content is purchased through the Platform.
User: Any individual or entity that registers for and/or uses the Platform to sell Content.
3. Using ClickaSnap
By using the Platform, you represent and warrant that you have read, understood, and agree to be bound by these Terms. These Terms apply together with any policies, licence terms, seller guidance, pricing information or support pages referred to on the Platform.
4. Who can use the Platform
4.1 The Platform is available only to Users who are at least 18 years old and have the legal capacity to enter into a binding agreement.
4.2 If you use the Platform on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.
5. Your Account
5.1 To use certain features of the Service, you must have registered for an account with us. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
5.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5.3 We reserve the right to suspend or terminate your account at any time for conduct that violates these Terms or is harmful to other Users or the Platform.
5.4 We may ask you to provide information to verify your identity, payment details, tax status or ownership of Content. We may delay or withhold payments where we reasonably need further information to verify your account or investigate suspected misuse, fraud or breach of these Terms.
6. Your Content
6.1 We acknowledge that you retain all ownership rights to the Content you upload to the Platform.
6.2 You represent and warrant that you either own all rights to the Content or have obtained all necessary permissions, licenses, and consents to upload, display and sell the Content on the Platform. Where Content includes or is created using AI tools, you confirm you have the rights to use and licence such Content.
6.3 You confirm that your Content may be used, processed and made available as described in these Terms, including in aggregated, dataset, analytical and system-level formats.
6.4 You are solely responsible for the Content you upload, and you agree not to upload any Content that is unlawful, defamatory, or infringes the intellectual property rights or privacy rights of others. We may delete any Content you have uploaded if we deem it to breach any of these Terms.
6.5 You confirm that:
(a) You own or control all rights needed to upload, display, license and make the Content available through the Platform.
(b) The Content does not infringe any copyright, trade mark, privacy, publicity, moral or other rights of any third party.
(c) Where Content includes identifiable people, private property, brands, artwork or other protected material, you have obtained all required releases, permissions and consents.
(d) any title, tags, keywords, descriptions or other information you provide about the Content are accurate and not misleading; and
(e) where Content is created using or materially assisted by AI tools, you have all rights needed to upload and license it, and you will identify it as AI-generated or AI-assisted where required by the Platform.
7. How we use your Content
7.1 By uploading Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce, display, distribute, adapt, analyse, tag, classify and process your Content for the purposes of operating, improving, developing and commercialising the Platform and related services. This includes the right to use Content, metadata and related information in aggregated, structured or processed formats, including as part of datasets and Derived Materials, and to make such datasets and Derived Materials available to Partners and third parties for the development, training, testing, improvement and commercialisation of systems, services and technologies.
7.2 We may derive revenue and other commercial benefit from the exercise of the rights granted under these Terms, and any such revenue or benefit may be used by us and our group companies for any lawful business purpose.
7.3 We may collect and analyse information about how users interact with the Platform, such as views, engagement, downloads, searches, sales patterns and usage trends. We may use this information to improve the Platform, develop new features and for broader commercial and analytical purposes, including sharing or licensing aggregated or anonymised insights with Partners and third parties. We will not share personal data for these purposes unless permitted by our Privacy Policy and applicable data protection laws.
7.4 We are not responsible for how third parties use Content or datasets once made available to them in accordance with these Terms.
7.5 Where Content is used in aggregated, processed, dataset or system-level formats, individual attribution may not be practical and may not be provided.
8. Selling your Content
8.1 We provide the Platform through which Content may be made available for licensing. We do not guarantee that any Content will be accepted, displayed, promoted, licensed or sold.
8.2 We may decide how Content is categorised, displayed, promoted or made available on the Platform, and may remove Content from sale where we reasonably consider this necessary.
8.2 The rights granted to Licensees will be set out in the Content License Terms available on the Platform.
8.3 When a Licensee purchases a license for your image, the transaction will be processed through the Platform. The Platform will handle payment processing and will withhold a commission fee as set forth on the Platform and on the user support resource page seller-info.

9. Payment & Earnings
9.1 We will charge a commission fee or processing fee on each Sale. All fees are displayed on the Platform and on the user support resource page seller-info.
9.2 Earnings from Sales, less any Commission, processing fees, refunds, chargebacks, taxes or other deductions described on the Platform, will be paid in accordance with the payment process set out on the Platform.
9.3 We may apply a minimum payment threshold. Earnings below that threshold will roll over until the threshold is reached. We may update the threshold from time to time by updating the relevant Platform page.
9.4 You are responsible for any taxes, duties or reporting obligations relating to your Earnings.
9.5 We may withhold, offset, reverse or reclaim payments where we reasonably believe there has been an error, refund, chargeback, fraud, breach of these Terms or third-party claim relating to your Content.
9.6 If you close your account, we may require you to provide valid payment and verification details before any outstanding Earnings are paid. We may not pay Earnings below the minimum threshold or where payment cannot reasonably be processed.
10. Intellectual Property
10.1 You retain all intellectual property rights in your Content.
10.2 We own all rights in the Platform, including its design, software, systems, branding, analytics, metadata, tags, classifications, datasets and Derived Materials created by or for us, except for your underlying ownership rights in your Content.
10.3 You agree not to modify, distribute, reproduce, or create derivative works of any other Content on the Platform without our express written consent.
10.4 Any feedback, suggestions or ideas you provide about the Platform may be used by us without restriction or payment to you.
11. What you can't do
11.1 You agree not to:
(a) Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
(b) Upload or transmit Content that is harmful, defamatory, infringing, obscene or otherwise objectionable.
(c) Engage in fraudulent transactions or misrepresent the ownership or rights to any Content.
(d) Interfere with or disrupt the operation of the Platform, its networks, or its security.
(e) Use bots, automated tools, scraping or other methods to access, copy or extract Platform content or data without our permission.
(f) Upload misleading, mislabelled or incorrectly tagged Content.
(g) Attempt to bypass payment, licensing or security features.
12. Disclaimers and Liability
12.1 The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.
12.2 Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
12.3 Subject to the above, we are not liable for indirect, incidental, special or consequential losses, loss of profit, loss of revenue, loss of opportunity, loss of goodwill or loss of data.
12.4 Our total liability to you in connection with the Platform or these Terms will not exceed the greater of: (a) £100; or (b) the total Commission retained by us from your Sales in the 12 months before the claim arose.
13. Your Responsibility to Us
13.1 You agree to indemnify us against any losses, claims, damages, costs and expenses, including reasonable legal fees, arising from:
(a) your Content;
(b) any claim that your Content infringes third-party rights;
(c) any missing or invalid consent, release or permission;
(d) inaccurate or misleading information, tags or descriptions provided by you;
(e) your breach of these Terms; or
(f) your misuse of the Platform.
14. Ending your Use of the Platform
14.1 You may terminate your account at any time by following the instructions provided on the Platform.
14.2 We may suspend or terminate your account immediately, without prior notice, if you breach these Terms or if your use of the Platform poses, in our reasonable opinion, any risk to the Platform or its Users. In this event, any pending earnings from the sale of Content may be cancelled.
14.3 Upon termination, your right to access the Platform will cease. We will remove your Content from active display on the Platform within a reasonable period, unless we are required or permitted to retain it under these Terms, applicable law or our legitimate business purposes.
14.4 Termination will not affect licences already granted, transactions already completed, accrued payment rights, refunds, chargebacks, investigations, or uses of Content that have already been incorporated into aggregated, processed, dataset or system-level formats.
14.5 We may retain records where reasonably required for legal, tax, accounting, fraud prevention, dispute resolution, rights management or platform integrity purposes.
15. Changes to these Terms
If we make material changes that affect how your Content may be used or licensed, we will take reasonable steps to notify you, such as by posting the updated Terms on the Platform or notifying you through your account. Your continued use of the Platform after the updated Terms take effect will constitute acceptance of those changes.
16. Laws
16.1 Governing Law: These Terms and any dispute or claim arising out of, or in connection with, it, shall be governed by and construed in accordance with the laws of England and Wales. If you are a consumer, you may also have rights under mandatory laws in the country where you live.
16.2 Dispute Resolution: The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, these Terms or the Platform.
17. Other Important Terms
17.1 Entire Agreement: These Terms, along with any additional policies or guidelines referenced herein or on the Platform, constitute the entire agreement between you and us regarding your use of the Platform.
17.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver: No failure or delay by us in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof.
17.4 Takedown: If we receive a complaint, takedown request or rights claim relating to your Content, we may remove or restrict access to the Content while we investigate. We may ask you to provide evidence of ownership, permissions or releases.
17.5 Model release: You are responsible for obtaining and keeping copies of all model, property or other releases required for your Content to be licensed and used commercially. You must provide copies to us promptly if requested.
17.6 Metadata: You must ensure that any titles, tags, descriptions, categories and metadata you provide are accurate and not misleading. We may edit, remove, supplement or generate metadata for Content to improve search, moderation, licensing and Platform functionality.
17.7 Your Earnings: We do not guarantee that your Content will generate views, sales, licences, payments or any particular level of Earnings.
17.8 Tax: You are responsible for determining and paying any taxes, duties or charges arising from your Earnings.
17.9 Sanctions: We may refuse, delay or cancel payments, licences or account access where required for legal, sanctions, fraud prevention, payment processing or compliance reasons.
