Licensed Content Selling Terms and Conditions

1. Introduction
These Licensed Content Selling Terms and Conditions ("Terms") between you and Videscape Limited and its affiliates ("we, "us", "our") govern your use of the ClickASnap online platform (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any of these Terms, do not use the Platform.
2. Definitions and interpretation
User: Any individual or entity that registers for and/or uses the Platform to sell Content.
Content: Any images, photographs, and vectors uploaded to the Platform by you.
License: A legally binding agreement allowing the purchaser to use an image under specified conditions.
Sale: The transaction by which a license to use the Content is purchased through the Platform.
Commission: A fee deducted by us from the proceeds of each Sale.
3. Acceptance of Terms
By using the Platform, you represent and warrant that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines or rules posted on the Platform from time to time.
4. Eligibility
The Platform is available only to Users who are at least 18 years old and have the legal capacity to enter into a binding agreement.
5. User Account
5.1 Registration: To use certain features of the Service, you must have registered for an account with us. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
5.2 Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5.3 Termination: We reserve the right to suspend or terminate your account at any time for conduct that violates these Terms or is harmful to other Users or the Platform.
6. User Content
6.1 Ownership: We acknowledge that you retain all ownership rights to the Content you upload to the Platform.
6.2 Representations and Warranties: You represent and warrant that you either own all rights to the Content or have obtained all necessary permissions, licenses, and consents to upload, display, and sell the Content on the Platform.
6.3 Representations and Warranties: You represent and warrant that the Content is original and is not generated using Artificial Intelligence ("AI").
6.3 Responsibility: You are solely responsible for the Content you upload, and you agree not to upload any Content that is unlawful, defamatory, or infringes the intellectual property rights or privacy rights of others. We may delete any Content you have uploaded if we deem it to breach any of these Terms.
7. License Grant to the Platform
7.1 By uploading Content for Sale on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your Content solely for the purpose of operating, promoting, and improving the Platform. This license does not grant us the right to sell or license your Content to third parties outside of the functionality of the Platform.
8. Photo Licensing and Sales
8.1 License Offerings: The Platform enables you to sell licenses to other users of the Platform to purchase your Content (the "Licensees").
8.2 License Terms: The Content will be licensed by the Licensees in accordance with the Content License Terms available on the Platform.
8.3 Transaction Process: When a Licensee purchases a license for your image, the transaction will be processed through the Platform. The Platform will handle payment processing and will withhold a commission fee as set forth on the Platform and on the user support resource page seller-info.

9. Payment Terms and Commission
9.1 Fees: We will charge a commission fee or processing fee on each Sale. All fees are displayed on the Platform and on the user support resource page seller-info.
9.2 Payments: Earnings from Sales, net of any fees, will be paid to you as specified on the Platform. Earnings from Sales will only be paid once they reach a minimum threshold. They will roll over month to month until the minimum threshold has been reached. The minimum threshold is detailed on the Platform and is subject to change at our discretion. You are responsible for any taxes or fees associated with such earnings. If you cancel your ClickASnap membership your earnings from Sales will be held in your account. If you delete your account, your earnings from Sales will be lost.
9.3 Disputes: In the event that a refund of earnings arising from Sales is determined to be appropriate, we reserve the unilateral right to reclaim, offset, or reverse any payment of earnings from Sales at our discretion.
10. Intellectual Property Rights
10.1 User Content: You retain all intellectual property rights in your Content.
10.2 Platform Content: All content, trademarks, logos, and software provided on the Platform are the property of us.
10.3 Restrictions: You agree not to modify, distribute, reproduce, or create derivative works of any other Content on the Platform without our express written consent.
11. Prohibited Conduct
You agree not to:
11.1. Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
11.2 Upload or transmit Content that is harmful, defamatory, infringing, obscene or otherwise objectionable.
11.3 Engage in fraudulent transactions or misrepresent the ownership or rights to any Content.
11.4 Interfere with or disrupt the operation of the Platform, its networks, or its security.
12. Disclaimers and Limitation of Liability
12.1 No Warranty: The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.
12.2 Damages: In no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.
12.3 Limitation of Liability: The total cumulative liability of us to you for any claims related to the Platform shall not exceed £100.
13. Indemnification
13.1 You agree to indemnify, defend, and hold harmless us from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your Content, or any violation of these Terms.
14. Termination
14.1 You may terminate your account at any time by following the instructions provided on the Platform.
14.2 We may suspend or terminate your account immediately, without prior notice, if you breach these Terms or if your use of the Platform poses, in our reasonable opinion, any risk to the Platform or its Users. In this event, any pending earnings from the Sale of Content may be cancelled.
14.3 Upon termination, your right to access the Platform will immediately cease. All provisions that by their nature should survive termination shall remain in effect. All your Content and details on the Platform will be deleted.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Last Updated" date above. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
16. Governing Law and Dispute Resolution
16.1 Governing Law: These Terms and any dispute or claim arising out of, or in connection with, it, shall be governed by and construed in accordance with the laws of England and Wales.
16.2 Dispute Resolution: The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, these Terms or the Platform.
17. General Provisions
17.1 Entire Agreement: These Terms, along with any additional policies or guidelines referenced herein or on the Platform, constitute the entire agreement between you and us regarding your use of the Platform.
17.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver: No failure or delay by us in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof.
